You may use our services only for lawful purposes and in accordance with these Terms. You agree not to use our services in any way that violates any applicable federal, provincial, local, or international law or regulation. You are responsible for ensuring that all persons who access our services through your account are aware of these Terms and comply with them.
User Accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to disable any user account at any time if, in our opinion, you have violated any provision of these Terms.
Intellectual Property
The service and its original content, features, and functionality are and will remain the exclusive property of AlgorithmShift and its licensors. Our trademarks may not be used in connection with any product or service without prior written consent. You retain ownership of any content you create using our platform, and you may export your code at any time.
User Content
You retain all rights to any content you submit, post, or display on or through the services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the services. You represent that you own or have the necessary rights to use and authorize us to use all content that you submit.
Prohibited Activities
You may not: (a) use the services for any illegal purpose; (b) attempt to gain unauthorized access to any portion of the services; (c) interfere with or disrupt the services or servers; (d) transmit any viruses, malware, or other malicious code; (e) collect or harvest any information from the services without permission; (f) impersonate any person or entity; (g) use the services to send spam or unsolicited communications.
Payment Terms
Certain features of our services may require payment. You agree to provide accurate billing information and authorize us to charge your payment method for all fees incurred. Subscription fees are billed in advance on a monthly or annual basis. Refunds are provided in accordance with our refund policy. We reserve the right to change our pricing with reasonable notice.
Limitation of Liability
To the maximum extent permitted by law, AlgorithmShift shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability shall not exceed the amount paid by you to us in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.
Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the services will cease immediately. You may export your data before termination. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Toronto, Ontario. You waive any objection to venue in such courts.
Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
