1. Acceptance
By signing up, accessing, or using AlgorithmShift, you agree to these Terms. If you're agreeing on behalf of a company or organisation, you represent that you have authority to bind them — in which case “you” refers to that entity.
2. Eligibility
You must be at least 16 years old and legally able to enter into a binding contract in your jurisdiction. If your account is suspended or terminated by us, you may not create another without our consent.
3. Accounts & workspaces
A workspace is the team boundary that owns apps, agents, environments, and audit logs. The workspace's administrators are responsible for:
- Keeping credentials and API keys confidential.
- Promptly revoking access for departed members and rotating connected-database credentials when appropriate.
- All activity that occurs under the workspace.
Notify us immediately at security@algorithmshift.ai if you suspect unauthorised access.
4. Acceptable use
You agree not to use AlgorithmShift to:
- Violate any law or third-party right, or generate material that infringes intellectual property you don't have rights to.
- Produce or distribute malware, exfiltrate data, or attempt to breach another tenant's isolation.
- Generate harmful, deceptive, or illegal content (child sexual abuse material, incitement to violence, fraud, etc.).
- Probe, scan, or test the vulnerability of the service without our written permission (see Vulnerability disclosure).
- Resell the service, or use it to build a directly competing AI software-delivery platform.
We may suspend or terminate access for violations, with or without notice where the violation is severe or ongoing.
5. Your content & IP
You own your content. Requirements you upload, prompts you write, and — critically — every artifact the platform generates on your behalf (code, migrations, release notes) are yours. AlgorithmShift claims no ownership.
You grant us a limited, non-exclusive licence to process your content solely to deliver the service (store, display, transmit, generate new artifacts from it) and to maintain backups. This licence ends when you delete the content or close the account, subject to the retention windows in our Privacy policy.
You're responsible for ensuring you have rights to any content you upload (for example, if a requirement document includes screenshots or excerpts from third-party software).
6. Our platform & IP
The platform — our software, agents, prompts, brand, documentation, and designs — is owned by AlgorithmShift and protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the platform in accordance with these Terms. No other rights are granted by implication.
Feedback you voluntarily provide may be used by us without restriction to improve the product; we're not obligated to act on it.
7. Fees & billing
- Free tier. No charge, subject to the usage limits on our Pricing page. We may change limits with notice.
- Team tier. Billed monthly or annually, per user. Fees are paid in advance and non-refundable except where required by law. Usage beyond plan limits is metered.
- Enterprise. Fees, payment terms, and any discounts are defined in a separate order form.
Taxes are additional. We may adjust prices for renewing terms with at least 30 days notice.
8. Early access & beta features
Parts of the platform are labelled “early access”, “preview”, or “beta”. Those features are provided as-is, may change without notice, and are not covered by our availability commitments.
9. Availability & support
We aim for high availability and publish incidents at status.algorithmshift.ai. Enterprise customers get contractual SLAs; other tiers are best-effort.
Support channels and response times are as stated on the Pricing page for your plan.
10. Confidentiality
Each party agrees to protect the other's non-public information disclosed under these Terms with at least the same care it uses for its own confidential information, and to use it only for the purposes of this agreement. Standard carve-outs apply (public info, independently developed, required by law).
11. Disclaimers
Except as expressly stated, the platform is provided “as is” and “as available”. We disclaim all other warranties — express or implied — including merchantability, fitness for a particular purpose, and non-infringement.
AI-generated output is not legal, medical, financial, or professional advice. You are responsible for reviewing what the agents produce before using it in production. We do not guarantee generated code is free from bugs or suitable for any particular purpose.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any lost profits, revenues, or data.
Our total aggregate liability under these Terms in any 12-month period will not exceed the fees you paid to us in that period, or USD 100 if you're on the free tier.
These limits don't apply to a party's indemnification obligations, confidentiality breaches, or anything that cannot be limited under applicable law.
13. Indemnification
You agree to defend and indemnify AlgorithmShift against third-party claims arising from (a) your content, (b) your violation of these Terms, or (c) your violation of applicable law. We'll defend you against third-party claims that the platform, used within these Terms, infringes the claimant's intellectual property — subject to the standard process (prompt notice, our control of defence, your cooperation).
14. Termination
You can close your workspace at any time from Settings. We may suspend or terminate for material breach of these Terms, with notice and a cure period where practicable, or without notice for severe breaches (security incidents, abuse, illegal activity).
Upon termination, we'll make your data available for export for 30 days, after which it is deleted per the retention schedule in our Privacy policy.
15. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Exclusive jurisdiction is in the state and federal courts sitting in Delaware. Enterprise agreements may specify alternative terms.
16. Changes
We may update these Terms. Material changes take effect 30 days after we post them and notify account owners; continued use after that constitutes acceptance.
